Cummins in '97 Ford 460

Been trying to sell the 97 Ford F350 4x4 for a little while with no luck.
Problem with the truck....It is almost a cherry, no rust etc. BUT it has 140k on it.
460, auto, 3.50 gears. All the HD stuff.
What I would like to do.
Put in either a 89-93, or 94-98 12valve into it, with a ZF 5speed, or a 4speed.
This is 2 conversions.
After getting the motor and tranny it "looks" fairly straight forward.
Am I missing something?
I sell OPE and farm equipment, so my winters are pretty slow.
