auto trans won't upshift

please help. 2003 w/ 40k tranny seems fine except for final upshift. truck will keep accelerating towards 70 & 3000rpm's without upshifting. fluid looks ok but with a tinge of burnt smell. no idication this was coming & at lower speeds & rpm's truck & tranny seem normal w/ no slipping etc. how serious is my problem?
